Conditions for access to and use of the RW ecosystem by Consumers, Dealers and professional users.

1. Service provider and acceptance
RW Watch Management is provided by PINDORO S.R.L.S. UNIPERSONALE, Via Degli Arcipressi 1, 50143 Firenze (FI), Italia · P. IVA e C.F. 07100260483 · Codice destinatario SDI SUBM70N. Contact: support@rwsuite.com; certified e-mail pindorosrl@legalmail.it.
These Terms govern access to and use of RW services. By registering, digitally accepting the Terms or using an activated service, the user enters into a contract with PINDORO. The accepted version and date are recorded. Anyone acting for a company confirms that they have authority to bind it.
2. Services and definitions
The ecosystem includes RW Suite for dealers and professionals, RW MyWatch for consumers, RW Control Panel, RW Exchange, dealer websites and connected features. “Dealer” means a professional operator; “Consumer” means a person using MyWatch for personal purposes; “Content” includes uploaded data, photos, documents, messages and records; “Watch” includes the item and connected digital data. Some features are available only to specific roles, plans, territories or verified accounts.
3. Account requirements
Users must provide accurate information, keep contact details current, protect passwords and devices, and notify RW of unauthorised access. Personal credentials may not be shared and false, duplicate or unauthorised accounts are prohibited. Users must have the age and legal capacity required for the applicable contract. Actions performed through an account are attributed to its holder unless compromise is promptly reported and established.
4. Companies, Dealers and staff
Dealers warrant the existence and lawful operation of their business, the accuracy of corporate, tax and professional information and all required authorisations. RW may request KYB, identity, address, beneficial-owner or reference checks before enabling restricted modules. Company administrators allocate and revoke staff roles. Each company must have a valid legal basis for using its customer data.
5. RW MyWatch and personal collections
MyWatch allows users to organise a personal collection, receive information and submit requests. Collections are private by default. Users confirm their right to upload data, photographs and documents and choose what to share. Watch limits and included features are determined by configuration or the active plan. Reducing capacity does not automatically delete existing watches, but may prevent new entries until usage is below the limit.
6. Access, roles and service changes
Features and data are available according to role, company, resource ownership, plan and feature flags. Consumers cannot access internal Dealer data or other Consumer data; Dealers cannot freely browse the MyWatch user base. RW may improve interfaces and features without arbitrarily removing accrued rights. Material changes to a paid service are notified with reasonable notice and the remedies required by law or the applicable offer.
7. Plans, pricing and trials
Price, currency, taxes, billing frequency, included modules, limits, any trial duration and promotional terms are those shown in the versioned commercial offer before acceptance. Examples, demonstrations and presentations do not create an implied price. A trial, where offered, ends on the stated date and converts to a paid plan only under accepted terms. Data and documents are not automatically deleted at the end of a trial, although access may be limited by the plan.
8. Payments, renewal and termination
Automatic renewal applies only where disclosed and accepted in the order. Invoices, due dates, payment methods, any proration, grace period and refund rules follow the offer and applicable law. After notice and any applicable grace period, RW may restrict paid modules for non-payment while retaining data under the retention policy. Cancellation prevents future renewals but does not cancel accrued charges, subject to withdrawal, a due refund or a different agreement.
9. Consumer withdrawal right
Where a Consumer purchases a paid RW service at a distance, they may withdraw within 14 days of conclusion, subject to statutory exceptions. If immediate performance is expressly requested, a proportionate amount may be due; loss of the right for a fully performed service or started digital content applies only with the consent and acknowledgement required by law. Send an unequivocal notice to support@rwsuite.com with name, account, service and date. This statutory right does not automatically apply to Dealers acting for professional purposes.
10. Uploaded data and Content
Users retain rights in their Content and grant RW a non-exclusive, limited licence, revocable subject to the contract, to host, process, create technical derivatives, display it to authorised recipients and provide the service. Users warrant lawfulness, accuracy and the necessary rights. RW does not use private documents or messages for behavioural advertising. Illegal, dangerous, misleading or infringing Content may be restricted or removed.
11. Inventory, catalogue and publications
Dealers are responsible for watch records, availability, public price, condition, set, origin, documents and statements. Costs, margins, notes and reserved prices remain separate. Sold, withdrawn, suspended or unavailable items must be updated promptly. RW may check records, normalise catalogue data and references, suspend incomplete or suspicious Content and retain an audit trail.
12. Requests, offers and trade-ins
“Request purchase”, “Sell”, “Value” and “Propose trade-in” create controlled requests or leads, not automatic orders. Amounts, expectations and counteroffers remain negotiating proposals until the parties enter into an agreement under the applicable terms. Consumers choose what to share and Dealers receive only authorised data. RW may apply routing, expiry, anti-spam and moderation rules without requiring a Dealer to make an offer.
13. The contract for the Watch
As with platforms that connect buyers and sellers, the purchase, sale or trade-in contract is entered into directly between the parties identified in the deal. A professional Dealer remains responsible to the Consumer for pre-contract information, price, payment, delivery, conformity, withdrawal and statutory warranties. RW does not become seller, buyer, owner, custodian or agent of a Watch merely by providing software, search, messaging or routing.
14. Transaction payments and fees
In the current configuration, RW does not collect the Watch price, provide an escrow account or charge an RW commission on an individual sale or trade-in. Payment, shipping, insurance, taxes and transfer are arranged by the parties. Any future payment service or transaction fee requires specific terms and separate acceptance and cannot be introduced retroactively.
15. RW Exchange
RW Exchange is a private B2B environment for verified Dealers. Price, taxes, shipping, insurance, checks, transfer and documents remain the responsibility of the companies involved. Technical reservation reduces double-sale risk but does not replace professional checks. Offers and acceptances are recorded; specific Exchange terms, tax declarations and network rules prevail for that flow.
16. RW Verified, seals and warranties
A watch entered by its owner is OWNER_REPORTED and is not automatically authentic or verified. Documents reviewed, RW Verified and active-seal statuses may be assigned only under the applicable protocol. A seal links a unique code to recorded information but makes no representation beyond the certificate. Dealer or third-party commercial warranties do not replace any statutory guarantee owed by the seller.
17. Values and Market Intelligence
Estimates, charts and value ranges are indicative and depend on source, period, sample, condition, set and currency. They are not an appraisal, promised price or financial advice. Users should perform independent checks before buying, selling, insuring or accounting for a Watch. Errors or anomalous data may be reported for review.
18. Messaging, notifications and WhatsApp
RW messaging retains authorised communications and structured offers. Spam, threats, unlawful Content and credentials are prohibited. WhatsApp is optional: external hand-off occurs only after authorisation and RW does not presume access to external conversations. Service and marketing notifications are separate; promotional messages follow preferences and consent.
19. Prohibited use and security
Users must not upload counterfeits or stolen goods; falsify identity or documents; infringe third-party rights; bypass limits or permissions; access another tenant; scrape data at scale; perform unlawful reverse engineering; introduce malware; abuse APIs or automation; manipulate ratings, referrals, analytics or commissions; or use RW for money laundering, fraud or other unlawful activity. Security incidents must be reported immediately.
20. Intellectual property
Software, interfaces, designs, databases, RW marks, taxonomies and official materials belong to PINDORO or their respective licensors. Users receive a personal or company, non-exclusive, non-transferable licence limited to the service term. Manufacturer and third-party marks, images and data remain with their owners; their presence does not imply sponsorship.
21. Suspension, closure and account deletion
RW may restrict or suspend accounts or Content for security risk, illegality, fraud, non-payment, material breach, authority order or the need to protect users and the platform, informing the affected party where possible. Ordinary termination follows the accepted offer. Account deletion may be requested in Settings or through support; records required for law, audit, disputes or anti-fraud are isolated for the necessary period.
22. Availability and external services
RW takes reasonable continuity, backup and security measures, but maintenance, connectivity, app stores, carriers, WhatsApp, push, payment or other providers may cause interruptions. “Not configured” or “external service unavailable” does not mean the service is active. RW communicates material maintenance where reasonably possible and prioritises incident response.
23. Liability
Nothing excludes liability that cannot lawfully be limited, including fraud, gross negligence, personal injury and mandatory Consumer rights. RW is responsible for providing its own services under applicable law, but not for party statements or breach of an underlying Watch transaction, economic decisions based on indicative estimates, or external events beyond reasonable control. Any B2B limitation applies only if clearly stated in an accepted professional offer or contract.
24. Privacy and confidentiality
Personal-data processing is described in the Privacy Policy and web technologies in the Cookie Policy. Each company must protect customer data, serials, documents, price lists and confidential information received through RW and use it only for the authorised purpose. Sensitive administrative access is controlled and audited.
25. Partner Network and specific agreements
RW Partner Network, Founder, referral or Leadership participation requires a specific agreement and plan rules. Presentations and simulators are illustrative and do not guarantee earnings. Network commissions may accrue only on eligible, collected bases and under current qualification rules. A specific Partner agreement prevails over these Terms only for the subject it governs.
26. Changes to these Terms
RW may update the Terms for service evolution, security, legal or commercial reasons. Each version shows its number and date. Material changes are notified with reasonable notice; renewed acceptance is requested where the contract or law requires it. Changes do not retroactively affect accrued rights unless required by law or validly agreed.
27. Governing law and disputes
These Terms are governed by Italian law. For Dealers, companies and users acting for professional purposes, subject to mandatory jurisdiction or a different written agreement, the Courts of Florence, Italy have exclusive jurisdiction. Consumers retain the mandatory court of their residence or domicile and all applicable remedies. Before proceedings, parties are invited to seek a solution through support@rwsuite.com.
28. Final provisions and contact
If a provision is invalid, the remaining Terms continue to apply. Failure to enforce a right is not a waiver. Assignment of the contract or account must comply with permissions and applicable rules. Operational notices go to account contacts; formal notices to PINDORO may be sent by certified e-mail. Clauses requiring specific approval by professional users will be submitted separately in the applicable flow or contract; mandatory rules prevail otherwise.
